"Service" refers to Kordless, an AI-powered voice customer agent platform operated by Tidefast Limited.
"Company," "we," "us," or "our" refers to Tidefast Limited, a company incorporated in Hong Kong under registration number 77431404, with its registered office at Unit B, 11/F, 23 Thomson Road, Wan Chai, Hong Kong SAR China.
"User," "you," or "your" refers to any individual or entity accessing or using the Service.
"Content" refers to all data, recordings, transcripts, analytics, and other materials generated through or stored within the Service.
"Subscription" refers to the paid access to the Service according to the selected pricing plan.
2.1. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any additional terms referenced herein.
2.2. If you are entering into these Terms on behalf of a business entity, you represent and warrant that you have the authority to bind such entity to these Terms.
2.3. If you do not agree to any part of these Terms, you must immediately discontinue use of the Service.
3.1. Kordless provides an AI-powered voice customer agent platform that includes:
a) Automated call answering and handling
b) Appointment scheduling and management
c) Business analytics and insights
d) Call recording and transcription services
3.2. Subject to these Terms and your compliance with them, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes.
3.3. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
4.1. To access the Service, you must:
a) Create an account with accurate, complete, and current information
b) Maintain and promptly update your account information
c) Maintain the security and confidentiality of your login credentials
4.2. You are solely responsible for:
a) All activities that occur under your account
b) Maintaining the confidentiality of your account credentials
c) Notifying us immediately of any unauthorized access or security breaches
4.3. We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.
5.1. Subscription Plans:
a) Access to the Service requires an active paid subscription
b) Subscription fees are based on the selected plan and billing cycle
c) All fees are exclusive of applicable taxes unless stated otherwise
5.2. Payment Terms:
a) You agree to pay all applicable fees according to your selected plan
b) Payments are processed through authorized payment processors
c) Subscriptions automatically renew unless cancelled prior to the renewal date
5.3. Refunds and Cancellations:
a) Refunds are provided in accordance with our Refund Policy
b) You may cancel your subscription at any time through your account settings
c) No refunds will be provided for partial billing periods or unused services
6.1. Data Collection and Processing:
a) We collect and process data as described in our Privacy Policy
b) You grant us permission to collect, store, and process call recordings, customer information, and usage data
c) You represent and warrant that you have obtained all necessary consents for data collection and processing
6.2. Data Security:
a) We implement industry-standard security measures to protect your data
b) We maintain appropriate administrative, physical, and technical safeguards
c) We conduct regular security assessments and updates
6.3. Data Retention and Deletion:
a) We retain data in accordance with our data retention policies and applicable laws
b) Upon termination, we may delete your data after a reasonable period
c) You are responsible for exporting any data you wish to retain prior to account termination
7.1. Ownership:
a) All rights, title, and interest in the Service remain with Tidefast Limited
b) You retain ownership of your Content, subject to the licenses granted herein
c) Our trademarks, logos, and service marks are our exclusive property
7.2. License to Your Content:
a) You grant us a worldwide, non-exclusive license to use, store, and process your Content
b) This license is solely for the purpose of providing and improving the Service
c) We may use anonymized data for service improvement and analytics
8.1. Prohibited Activities:
a) Attempting to bypass security measures or access unauthorized areas
b) Reverse engineering, decompiling, or attempting to derive source code
c) Using the Service for any unlawful purpose or fraudulent activities
d) Interfering with or disrupting the Service or its servers
e) Transmitting malware, viruses, or other harmful code
8.2. Compliance Requirements:
a) You must comply with all applicable laws and regulations
b) You must obtain necessary permits and licenses for your business operations
c) You must maintain appropriate security measures for your account
9.1. Service Availability:
a) We target 99.9% uptime, excluding scheduled maintenance
b) Maintenance windows will be communicated in advance when possible
c) Service credits may be issued for extended downtime per our SLA policy
9.2. Technical Support:
a) Standard support is provided during business hours
b) Premium support options are available for enterprise plans
c) Support response times vary based on issue severity and plan level
10.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TIDEFAST LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
a) Your use or inability to use the Service
b) Any unauthorized access to or use of our servers and/or any personal information stored therein
c) Any interruption or cessation of transmission to or from the Service
d) Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service
10.2. Our aggregate liability under these Terms shall be limited to the amount you paid us during the twelve (12) months preceding the claim.
11.1. You agree to defend, indemnify, and hold harmless Tidefast Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
a) Your use of the Service
b) Your violation of these Terms
c) Your violation of any third-party rights
d) Your Content or interactions with other users
12.1. We reserve the right to modify these Terms at any time in our sole discretion.
12.2. We will notify you of material changes via email or through the Service.
12.3. Continued use of the Service after such modifications constitutes acceptance of the updated Terms.
13.1. These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong SAR"), without regard to its conflict of law provisions.
13.2. Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.
